Terms of Service

1. Scope of Services

Ravkan Consult LLC provides professional creative services, including but not limited to:

• Brand identity system design
• Packaging design
• Social media graphics
• Custom illustrations
• UI/UX design (web and mobile)
• Motion graphics and video reels
• Creative consulting

Each engagement will be defined by a written proposal, agreement, or statement of work (SOW) outlining deliverables, timelines, and fees.

2. Engagement & Acceptance

A project is deemed active once:

• The Client approves a proposal or agreement in writing, and
• The required deposit or payment is received

The Company reserves the right to decline any project at its discretion.

3. Fees, Payments & Billing

• Fees are agreed prior to project commencement
• Payment structures may include upfront, milestone-based, or full payment
• Final deliverables are released only upon full payment

Late Payments

Late payments may result in:

• Suspension of services
• Additional fees where applicable

Refund Policy

• Deposits are non-refundable once work has begun
• Refunds are not guaranteed and are subject to work completed

4. Project Scope & Revisions

• Scope is defined in the project agreement
• Revisions are limited to what is agreed
• Additional revisions or scope changes will incur additional charges

5. Client Responsibilities

The Client agrees to:

• Provide accurate project requirements and materials
• Ensure all submitted content is legally owned or licensed
• Provide timely feedback and approvals

Delays caused by the Client may impact delivery timelines.

6. Intellectual Property Rights

Ownership

• Full ownership of final deliverables transfers to the Client only after full payment
• Until payment is completed, all work remains the property of Ravkan Consult LLC

Portfolio Use

The Company retains the right to display completed work in:

• Portfolios
• Marketing materials
• Case studies

Third-Party Materials

Use of third-party assets (fonts, images, software) is subject to their respective licenses.

7. Confidentiality

Both parties agree to maintain confidentiality regarding:

• Business operations
• Project details
• Proprietary information

This obligation survives project completion.

8. Acceptable Use

The Client agrees not to request services involving:

• Illegal or fraudulent activities
• Offensive, harmful, or deceptive content
• Intellectual property infringement

The Company reserves the right to refuse or terminate such projects.

9. Delivery & Timelines

• Timelines provided are estimates only
• Delays may occur due to:
  • Client feedback delays
  • Scope changes
  • External dependencies

Rush services may incur additional fees.

10. Limitation of Liability

To the fullest extent permitted under Colorado law:

Ravkan Consult LLC shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities

11. Indemnification

The Client agrees to indemnify and hold harmless Ravkan Consult LLC from:

• Claims arising from client-provided materials
• Copyright or trademark violations
• Misuse of delivered work

12. Termination

Either party may terminate the agreement if:

• Terms are breached
• Payment obligations are not met
• The project becomes unlawful or unethical

Fees for completed work remain payable.

13. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the State of Colorado, United States.

Any disputes shall be resolved in the courts located within Colorado, unless otherwise agreed.

14. Dispute Resolution

Before initiating legal action, both parties agree to attempt:

1. Good faith negotiation
2. Mediation (if necessary)

15. Modifications

We reserve the right to update these Terms at any time. Updates will be posted with a revised effective date. Continued use of our services constitutes acceptance of the updated Terms.
